1. Introduction.
This Modern Slavery and Human Trafficking Statement (“Statement”) is made pursuant to section 54 of the UK Modern Slavery Act 2015 and sets out the steps that CAI Software, LLC, on behalf of itself and its subsidiaries and affiliates (collectively “CAI”, “the Company”, “we”, “us”, or “our”) has taken during the financial year ending December 31, 2025 to prevent modern slavery and human trafficking in our business operations and supply chains.
CAI is committed to conducting business ethically and with integrity and to implementing and enforcing effective systems and controls to ensure that modern slavery and human trafficking are not taking place anywhere within our business or supply chains.
2. Organization Structure and Business.
CAI is a software and services company providing enterprise software solutions and related professional services to customers globally, including customers in the United Kingdom. Our operations include software development, customer support, professional services, sales, and administrative functions. Our business model is primarily service-based and supported by a network of third-party suppliers.
3. Supply Chains.
CAI’s supply chains are predominantly service-based and include suppliers providing:
• Information technology and cloud hosting services
• Software development and technical consulting services
• Professional services such as legal, accounting, and marketing
• Office and administrative services
We recognize that the risk of modern slavery may vary depending on supplier type, geography, and labor practices. Accordingly, we take a proportionate and risk-based approach to managing our supply chains.
4. Policies in Relation to Modern Slavery and Human Trafficking.
CAI maintains a zero-tolerance approach to modern slavery and human trafficking. Our commitment is reflected in relevant internal policies and procedures, including:

These policies set out our expectations that all employees, contractors, and business partners act ethically and in compliance with applicable laws and regulations.
5. Due Diligence Processes.
As part of our efforts to prevent modern slavery and human trafficking, CAI has implemented due diligence processes that are proportionate to the size, nature, and risk profile of our business. These processes may include:
• Consideration of supplier risk during onboarding, where appropriate
• Inclusion of contractual expectations relating to ethical conduct and legal compliance
• Retention of rights to terminate supplier relationships where serious breaches of ethical standards are identified
Where higher-risk suppliers are identified, CAI may take additional steps to seek further information or assurances regarding labor practices.
6. Risk Assessment and Risk Management.
CAI periodically considers the potential risks of modern slavery and human trafficking within its operations and supply chains. Given the nature of our business and supplier base, we consider the overall risk to be low. However, we remain alert to potential risk factors, including the use of third-party labor and subcontracted services in certain jurisdictions. We seek to take reasonable and proportionate steps to manage any identified risks and will continue to refine our approach as appropriate.
7. Effectiveness and Key Performance Indicators.
CAI monitors the effectiveness of its approach to modern slavery through qualitative measures, including:
• Review of reported concerns or incidents
• Supplier engagement and responsiveness
• Compliance with internal policies and ethical standards
As our program continues to develop, we intend to enhance our ability to measure effectiveness through more formal performance indicators over time.
8. Training and Awareness.
CAI recognizes that awareness is an important element in preventing modern slavery. Employees are expected to act in accordance with our ethical standards and to report any concerns relating to improper or unlawful conduct. We intend to continue to develop appropriate awareness and training initiatives, particularly for employees involved in supplier engagement and procurement activities.
9. Continuous Improvement.
CAI is committed to continuous improvement in its approach to preventing modern slavery and human trafficking. During the next financial year, we intend to:
• Further formalize supplier due diligence processes
• Review opportunities to enhance employee awareness and training
• Continue to assess and improve our approach to identifying and mitigating risk
